Billing Terms

These Billing Terms explain how Rilk LLC (“Rilk,” “we,” “us”) charges for the self-serve Free and Pro plans of the Rilk platform (the “Service”). They form part of, and should be read with, Rilk’s Terms of Service. If these Billing Terms and the Terms of Service conflict on a billing matter, these Billing Terms govern.
These Billing Terms do not apply to the Ultimate plan. Ultimate is not available through self-serve checkout: it is arranged with Rilk and billed only on the terms of its signed order form. If you have signed a written agreement with us for your use of the Service, that agreement governs your billing instead of these Billing Terms.
1. Definitions
- Account — your billing entity on the Service. One account receives one bill.
- Company — a company, brand, store or sub-tenant within an account.
- Shipped order — an order that has become billable under Section 3.3 because the Service recorded it as shipped or completed. It remains a shipped order if it is later marked delivered, returned or otherwise changed, unless it stops being billable under Section 3.4.
- Order fee — the per-order charge for a shipped order under Section 3.
- Plan minimum — the monthly minimum of the Pro plan under Section 5.
- Billing period — for Pro, each monthly period starting on the day your Pro subscription starts and renewing on that day each month. It is not tied to the calendar month. The Free plan has no billing period.
- Calendar month — a calendar month measured in Coordinated Universal Time (UTC).
- Payment method — a card or other payment method you keep on file with our payment processor. A payment method is valid only while it is active with our payment processor and no charge on it is overdue.
2. Plans and Prices
Free — $0 per month, with no monthly minimum. The first 500 shipped orders in each calendar month are included at no charge. Shipped orders above 500 are charged the order fee (Section 4).
Pro — $999 per month minimum. Every shipped order is charged the order fee, and your order fees count toward the $999 minimum (Section 5).
All prices are in US dollars and exclude tax (Section 8).
3. Order Fees
3.1 Rates
The order fee is:
- $0.30 per shipped order; or
- $0.05 per shipped order that is both sold on Amazon and fulfilled by Amazon (FBA).
3.2 Which rate applies
The $0.05 rate applies only to an order that is both sold on Amazon and fulfilled by Amazon. Every other order is charged at $0.30, including an order that Amazon fulfills for a sale made on another sales channel, such as a Multi-Channel Fulfillment order for a sale made on Shopify, eBay or Walmart.
3.3 When an order is billable
An order becomes billable when the Service records it as shipped or completed, and it stays billable if it is later marked delivered or returned. These orders are never charged:
- cancelled orders, and orders that never ship;
- an order that the Service records as shipped more than 90 days after its order date; and
- an order placed before you first connected the sales channel it came from.
3.4 Orders that stop being billable
If a billable order is cancelled, or its shipping label is voided without the order shipping, before the billing period (or, on the Free plan, the calendar month) in which it became billable has been billed, it is not charged. These are the only ways a billable order stops counting toward the 500 included orders or the order fees.
3.5 Measurement
Order fees are calculated for each billing period on Pro, and for each calendar month on the Free plan. Pro includes no monthly order allowance: order fees apply from the first shipped order in each billing period.
4. The Free Plan
4.1 Price and allowance
The Free plan costs $0 per month and includes the first 500 shipped orders in each calendar month at no charge. The count resets at the start of each calendar month. Unused orders do not roll over. The Free plan has no monthly minimum. Orders at the $0.30 rate use up the 500 included orders before orders at the $0.05 rate.
4.2 No card to start
You do not need a payment method to create a Free account.
4.3 Above 500 orders without a valid payment method
When your account’s 501st shipped order in a calendar month is recorded and no valid payment method is on file, the Service is locked. While it is locked, you can sign in and manage your billing and plan, but the rest of the Service is unavailable. The lock does not stop orders importing from your connected sales channels. It lifts as soon as a valid payment method is on file, and otherwise at the start of the next calendar month. The count includes shipped orders later marked delivered or returned; only orders that stop being billable under Section 3.4 drop out of it, so it is the same count used to charge order fees under Section 4.4.
4.4 Above 500 orders with a valid payment method
Once a valid payment method is on file, each shipped order above 500 in that calendar month is charged the order fee, including orders above 500 shipped earlier in that month before you added it. The same applies in each later calendar month. If your account is locked for passing 500 shipped orders in a calendar month and you add a payment method in a later calendar month, order fees for the locked month are not charged.
4.5 When Free order fees are charged
Order fees on the Free plan are charged in arrears, by calendar month. A calendar month’s order fees are calculated after it closes, on or after the fifth day of the following month, and charged to your payment method by our payment processor.
4.6 Companies
The Free plan includes one company. You cannot add another company on the Free plan.
5. The Pro Plan
5.1 Plan minimum
Pro carries a plan minimum of $999 per month.
5.2 Minimum, not base fee
The plan minimum is not a base fee charged on top of your order fees. For each billing period you pay either your plan minimum or your order fees for that period, whichever is greater — never both.
5.3 When Pro is charged
Your plan minimum is charged in advance, at the start of each billing period, and is not prorated. Order fees for a billing period that exceed your plan minimum are charged in arrears, after that billing period ends.
5.4 Companies
Pro includes one company. You cannot add another company on Pro. An account that needs more than one company uses the Ultimate plan.
5.5 Features
The features included in each plan are those described on our pricing page. We may change them. A change that adds a feature takes effect when we make it available. A change that removes a feature from your plan, or moves it to a higher plan, takes effect at least 30 days after we notify you under Section 11.
6. The Pro Trial
6.1 Eligibility
An account that has never had a trial may start a 14-day trial of Pro from its billing settings, once per account. No payment method is required to start the trial, and nothing is charged during it. An account on the Ultimate plan, or with a paid subscription in place, cannot start a trial. The Free plan has no trial.
6.2 Access during the trial
The trial gives your account the Pro plan’s features.
6.3 Adding a payment method during the trial
Your first charge is the full Pro plan minimum, charged in advance under Section 5.3.
- If you add a payment method at least 48 hours before the trial ends, that charge is made when the trial ends, and your first billing period runs from the trial end date.
- If you add a payment method less than 48 hours before the trial ends, or after the trial has ended, the plan minimum is charged when you add it, and your first billing period runs from that date.
6.4 When the trial ends
If the trial ends without a payment method on file, the Service is locked, except for signing in and managing your billing and plan, until you either add a payment method to continue on Pro or choose the Free plan. Nothing is charged automatically. The lock stays in place until you make one of those choices.
6.5 Choosing Free during the trial
You can choose the Free plan at any time during the trial, without adding a payment method. Choosing Free ends the trial immediately, and the Free plan terms in Section 4 apply.
6.6 Other trials
A trial arranged with Rilk directly is on the terms stated in that arrangement.
7. Payment and Automatic Renewal
7.1 Authorization
By adding a payment method, you authorize Rilk and its payment processor to charge it for the plan minimum, order fees and taxes due under these Billing Terms, on the schedule these Billing Terms describe, until your subscription ends.
7.2 Automatic renewal
A Pro subscription renews automatically for successive monthly billing periods until it ends under Section 9. The Free plan continues until you change or close your account.
7.3 Payment processor and seller of record
Checkout for Pro, and for adding a payment method to the Free plan, is provided by our payment processor, Stripe, through its managed payments service. Stripe is the seller of record for those transactions: Stripe’s terms also apply to them, Stripe calculates and collects any applicable tax, and Stripe issues the receipt.
7.4 Keeping your payment method current
You are responsible for keeping a valid payment method on file and your billing details up to date.
8. Tax
Prices exclude tax. Rilk does not add tax to your fees itself. For transactions made through Stripe’s checkout under Section 7.3, Stripe, as seller of record, determines and collects any applicable tax. You are responsible for any other tax on your fees, other than tax on Rilk’s net income.
9. Cancellation and Plan Changes
9.1 Self-serve
The Free and Pro plans are self-serve: you start Pro, start a trial and add a payment method yourself in the Service. Pro is the only paid plan available through self-serve checkout.
9.2 Cancelling Pro
You cancel Pro through our payment processor’s billing portal, which you reach from your billing settings. Pro stays active until your subscription ends. When it ends, your account moves to the Free plan, including the 500-order threshold in Section 4.
9.3 Amounts after cancellation
Ending your subscription stops future billing periods. It does not cancel amounts already payable:
- the plan minimum already charged for the billing period in which your subscription ends is not refunded or prorated;
- order fees above the plan minimum for every billing period that ended before your subscription ended are charged after the subscription ends; and
- if your subscription ends part-way through a billing period, order fees for that partial period are not charged.
9.4 Choosing Free
While you have no paid subscription in place — for example, during a trial — you can choose the Free plan in the Service at any time. While a paid subscription is in place, you move to Free by cancelling it under Section 9.2.
9.5 Moving to Ultimate
A move from Free or Pro to Ultimate is arranged with Rilk under a signed order form. It is not available through self-serve checkout.
9.6 Upgrading from Free to Pro
Because the Free plan has no billing period and no plan minimum, starting Pro starts your first billing period, and the full plan minimum is charged in advance at that point. If a trial is running, Section 6.3 applies instead.
9.7 Changes to your plan minimum
If your plan minimum changes, the new amount applies from your next billing period. The billing period in progress is not re-charged or prorated.
10. No Refunds
All fees are non-refundable unless applicable law requires a refund or Rilk agrees otherwise in writing. We do not prorate: no refunds or credits are issued for partial billing periods or unused time, including a plan minimum already charged in advance for the period in which your subscription ends.
11. Price and Feature Changes
We may change our prices by giving you at least 30 days’ notice, by email or in the Service. A price change does not take effect in the middle of a billing period (or, on the Free plan, in the middle of a calendar month). If you continue to use the Service after a price change takes effect, you accept the new price. If you do not accept it, you may cancel under Section 9 before it takes effect.
12. Failed Payments
12.1 Pro
If a payment for Pro fails, your account moves to the Free plan immediately, with no grace period, and everyone on your account is signed out. Our payment processor may retry the payment. If a later attempt succeeds, Pro is restored automatically. While that payment remains unpaid, you cannot start a new Pro checkout or a trial; instead, update your payment method in the billing portal, and Pro is restored once the payment succeeds. While your account is on the Free plan, Section 4 applies to it.
12.2 Free plan order fees
If a charge for Free plan order fees fails, your payment method stops counting as valid until the overdue amount is paid. If your account then passes 500 shipped orders in a calendar month, Section 4.3 applies and the Service is locked until the amount is paid.
12.3 Suspension
We may also suspend or terminate your account for failure to pay fees when due, as the Terms of Service provide.
12.4 Amounts remain due
A failed payment, a move to the Free plan, a lock or a suspension does not cancel amounts already payable.
13. Shipping Balance and Carrier Charges
Carrier postage and charges are separate from Rilk’s fees. Funds you add to your Rilk shipping balance are non-refundable and non-transferable, and may be used only to purchase shipping labels and related carrier services through the Service, unless applicable law requires a refund. When a label purchased from your balance is voided and the carrier issues a refund, the amount is credited to your shipping balance, not to your original payment method.
14. Questions About a Charge
If you believe a charge is wrong, contact support@rilk.ai before disputing it with your card issuer, so we can look into it.
15. How Your Acceptance Is Recorded
15.1 How you accept
These Billing Terms form part of Rilk’s Terms of Service, and you accept them in the same way you accept the Terms of Service: by creating an account, connecting a marketplace, or otherwise using the Service. The sign-up page states this and links to the Terms of Service and the Privacy Policy before you create your account, and Rilk’s payment processor requires you to agree to the Terms of Service before it takes payment at Pro checkout. Starting a Pro trial, checking out for Pro, adding a payment method or continuing to use the Service is acceptance of the version of these Billing Terms then published.
15.2 What we record
Rilk publishes each version of these Billing Terms with its version label and effective date, and keeps the earlier versions. Rilk records the date your account was created and the date of each change to your plan, your payment method and your usage, so that the version of these Billing Terms that applied to your account at any time can be identified.
15.3 New versions
Each version of these Billing Terms has a version label. When we publish a new version, we will notify you as Section 11 describes for price changes, and we may ask you to accept the new version at your next step involving money.
